Simple answer - because 3rd edition D&D came out before this did.

In a very real sense, the actual antecedents of each game are secondary to the perception - a newer player who's never seen Rolemaster or never heard of Iron Crown is going to assume that this game is a deliberate rip-off of D&D. Just as, had this game come out first, and had much wider/deeper market penetration, people would be pointing out just how much D&D stole from it.

Sad fact is, there are players out there who think RPG = D&D, just as there are those who think RPG = White Wolf. You mean there are other companies? With the advent of d20, that narrow perception is shifting... but it's not entirely gone yet.
