The hardcover rulebook also contains the Kill Team combat game rules published in White Dwarf magazine, which was not included in the softcover rulebook in the boxed set. Which is useful, since the current rulebook in either form has no army lists for any of the many factions in the WH 40K universe. Those were left out in favor of printing them in the Codex for each faction (sounds like a low blow, but to be fair the new codices (I think that's plural for Codex) contain some solid information, including pictures for each unit listed).
I don't know exatly what the Kill Team rules are all about, since I don't have either the set or the new rulebook, but I have a friend who has BOTH (sounds crazy to me, but it's his money...) and described some of it to me.
Buying the box set sounds reasonable to me if you're a veteran looking for the new rules updates. After all, you're getting terrain and minis, plus the new rulebook, for a decent price (for a GW product, and you can always sell anything you're not goint to use. I don't know anyone who can't use more terrain).
