I think that's a fair assessment. Having played both, I think BESM 3rd takes Tri Stat dX and makes it a little easier to use in play. Abilities are tweaked for balance concerns, combat seems smoother, and the scaling system is gone with just higher point totals representing increasingly powerful characters.

If you're using all the bells and whistle I'd say that BESM 3rd is slightly less complex than dX, but just by a hair. BESM feels a little more modular than dX, however, and I can more easily imagine how I would simplify or modify BESM 3rd for my own purposes.

BESM 3rd is somewhat more balanced than dX in my view, due to changes in power totals and how some specific Abilities function. However, BESM still requires GM supervision to make sure a player doesn't create something game breaking.
